Welcome to the Prism ML, Inc. website (the “Site”). These Terms and Conditions (“Terms”) govern your access to and use of the Site and any content, features, or services made available through the Site (collectively, the “Services”). By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

1. Who we are

The Services are operated by Prism ML, Inc. (“Prism ML,” “we,” “us,” or “our”).

2. Eligibility

You may use the Services only if you are legally able to form a binding contract in your jurisdiction. If you use the Services on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.

3. Changes to the Services or Terms

We may update the Services and these Terms from time to time. When we update these Terms, we will revise the “Effective date” above. Your continued use of the Services after changes become effective means you accept the updated Terms.

4. Privacy

Our collection and use of personal information is described in our Privacy Policy below. By using the Services, you acknowledge that you have read the Privacy Policy.

5. Accounts (if applicable)

Some areas of the Services may allow you to create an account. You agree to provide accurate information and to keep it updated. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

We may suspend or terminate access to your account if we reasonably believe you have violated these Terms or if we need to do so to protect the Services or other users.

6. Acceptable use

You agree not to, and not to assist or enable others to:

• Use the Services in any way that violates applicable law or regulation.
• Interfere with or disrupt the Services, including probing, scanning, or testing the vulnerability of any system or network.
• Attempt to gain unauthorized access to the Services or related systems.
• Reverse engineer, decompile, or disassemble any aspect of the Services, except to the extent such restriction is prohibited by law.
• Use automated means (including bots, scrapers, or crawlers) to access the Services in a manner that sends more requests than a human could reasonably produce in the same period, or that bypasses rate limits or access controls.
• Upload, transmit, or distribute any material that is unlawful, harmful, infringing, or otherwise objectionable.
• Impersonate any person or entity or misrepresent your affiliation.

7. Intellectual property

The Services, including their text, graphics, images, videos, software, and other content, are owned by Prism ML or its licensors and are protected by intellectual property laws. Except as expressly permitted by these Terms, you may not copy, modify, distribute, sell, lease, or create derivative works from any part of the Services.

Limited license. Subject to your compliance with these Terms, Prism ML grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal or internal business purposes.

8. Feedback

If you provide ideas, suggestions, or feedback to Prism ML (“Feedback”), you grant Prism ML a perpetual, irrevocable, worldwide, royalty-free license to use, reproduce, modify, distribute, and otherwise exploit that Feedback without restriction or compensation to you.

9. Third-party services and links

The Services may contain links to third-party websites or services. Prism ML does not control and is not responsible for third-party content, policies, or practices. Your use of third-party services is at your own risk and subject to the third party’s terms.

10. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRISM ML DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.

PRISM ML DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT CONTENT WILL BE ACCURATE OR COMPLETE.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRISM ML AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, PARTNERS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF (OR INABILITY TO USE) THE SERVICES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRISM ML’S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100).

Some jurisdictions do not allow certain limitations of liability. In those jurisdictions, the above limitations apply to the greatest extent permitted by law.

12. Indemnification

You agree to indemnify and hold harmless Prism ML and its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Services, (b) your violation of these Terms, or (c) your violation of any rights of another.

13. Termination

We may suspend or terminate your access to the Services at any time, with or without notice, if we reasonably believe you have violated these Terms or if we need to protect the Services, Prism ML, or others. Upon termination, the license granted to you will end.

14. Dispute resolution

You agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Services will be resolved in accordance with applicable law. Before filing a formal claim, you agree to contact us at tushar@prismml.com and attempt to resolve the dispute informally.

15. Miscellaneous

• Entire agreement. These Terms constitute the entire agreement between you and Prism ML regarding the Services.
• Severability. If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect.
• No waiver. Prism ML’s failure to enforce any provision is not a waiver of its right to do so later.
• Assignment. You may not assign these Terms without Prism ML’s prior written consent. Prism ML may assign these Terms as part of a merger, acquisition, reorganization, or sale of assets.
